Applying to Deregister a Company
You can apply to deregister a company if:
- all members of the company agree to deregister; and
- the company is not carrying on business; and
- the company's assets are worth less than $1000; and
- the company has paid all fees and penalties payable under the Corporations Act 2001; and
- the company has no outstanding debt with ASIC; and
- the company has no outstanding liabilities including charges; and
- the company is not a party to any legal proceedings.
The lodgement fee for the Voluntary Deregistration of a Company Form 6010 must be lodged with the document before ASIC will process a deregistration. The fee is non-refundable in most circumstances.
Form 6010 lodgement date and the Company's Deregistration
Once approved, ASIC publishes a notice about the proposed deregistration in the ASIC Gazette. Two months after the Gazette notice is published, ASIC deregisters the company.
Important: Once the form 6010 is lodged and approved by ASIC, the company status will appear as "Pending". When the company is deregistered two months after the Gazette is published, you will need to update the status to deregistered in CAS 360 manually.

Forms Prepared
CAS 360 will automatically select the following document:
- Voluntary Deregistration of a Company Form 6010
- Directors Deregistration Meeting Minute or Resolution
- Members' Letter of Consent
- Notification of cessation Form 407 (Companies where Registrable Body or Foreign is selected as the company type in the General Details)
- ASIC Deregistration Invoice
CAS 360 allows you to prepare documents and then notify ASIC through electronic lodgement via the Documents Screen. For more information on how to do so, click here.
ASIC Invoice
The official invoice for the lodgement fee will be sent once the Form 6010 has been successfully lodged and accepted by ASIC.
ASIC can take up to 10 business days to send the invoice via the EDGE Mailbox, so you should receive this invoice in CAS 360 over the next couple of weeks.
If you have still not received the invoice during this timeframe, you may need to contact ASIC directly in order to obtain this.
Make sure you apply for deregistration at least two weeks before your annual review fee due date
When a company lodges an application to voluntarily deregister, ASIC will publish a notice of the intended deregistration. If the notice is published before the review fee is due, you won't have to pay the annual review fee.
If however the notice isn't published before the review fee is due, ASIC may still require you to pay the fee before you can deregister your company.

Lodging the Voluntary Deregistration of a Company 6010
Agents have the ability to set up a direct debit account with ASIC. The direct debit account is used for payments for lodging certain forms with ASIC including the Voluntary Deregistration of a Company 6010.
If you have set up a direct debit account, ensure that the ASIC Direct Debit option is flagged in the settings screen before the form 6010 is lodged.

Once you have lodged the Deregistration and it has been processed
From the Main Toolbar, go to Company. | |

Under the Company Status section, change Status to Deregistered.
CAS 360 Company Limit
After lodging the Voluntary Deregistration of a Company - Form 6010, you will need to deactivate the company to remove it from your subscription count.

Withdrawal of Deregistration
If a company wishes to withdraw their application for deregistration, they may write to ASIC's Deregistration Team requesting cancellation of the deregistration application. The letter must be signed by the person who signed the Form 6010 and should contain
- reasons why the application is being withdrawn; and
- the statement that "All members agree not to deregister the company".
A creditor or aggrieved person may apply for deferral of deregistration by writing to the Deregistration Team with proof (copy of court order) that action is being taken to recover an outstanding debt. The deregistration will be deferred for a period specified, up to 6 months upon receipt of this proof.
