When incorporating a company through CAS 360, purchasing a constitution is optional.
During the company registration process, you can choose how the company will be governed. The available options are:
Replaceable Rules - The company relies on the replaceable rules contained in the Corporations Act 2001.
Company Constitution - The company adopts a constitution document.
No Constitution and No Replaceable Rules - Available where the company has a sole director who is also the sole shareholder.
For most proprietary companies, using the replaceable rules is sufficient and does not require purchasing a constitution.
Using a Constitution in CAS 360
If you choose to adopt a constitution, CAS 360 provides two options:
Purchase a Constitution
BGL has partnered with leading legal document providers so that CAS 360 users can choose the constitution that best suits their company’s needs.
This option provides a pre-prepared constitution document that can be adopted by the company at the time of registration.
By purchasing a constitution through CAS 360, you get all of the following benefits:
Integrated process: Choose and buy a constitution right after lodging an ASIC company incorporation.
Pre‑populated documents: Once purchased, the constitution will automatically include the company’s details (like company name and ACN), saving you time on manual editing.
Choice of providers: CAS 360 integrates with multiple partners
Professional drafting: Constitutions from these partners are professionally prepared and ready to use, reducing risk compared to drafting from scratch.

Use a Blank Constitution Template
CAS 360 also provides a blank constitution template that can be used instead of purchasing one.
This template can be accessed through the CAS 360 Dictionary Codes and allows users to upload or customise their own constitution document.
